Capital Health Network (CHN) Ltd is conducting an election for the following Board Director positions.

1) Elected Director position E2.

Nominees for Director position E2 must meet the essential criteria of being an allied health professional, nurse or midwife. Nominations must be accompanied by appropriate supporting evidence that the nominee for election possesses. (i.e. the necessary qualifications, registrations and/or competencies to occupy this Director position). CHN values the perspectives and insights of First Nations people and are actively seeking applications from Aboriginal and Torres Strait Islander people. CHN is also seeking to increase diversity of the board and encourage people from diverse backgrounds to apply.

CHN considers that all nominees should also have:

1. Demonstrated ability to contribute to the Board’s strategic thinking.
2. Demonstrated ability to provide strong leadership, acting with integrity and high ethical standards.
3. Appropriate governance qualifications or experience (i.e. completion of the Australian Institute of Company Directors’ training or equivalent).

2) Elected Director position E4.

Director position E4 is a General Elected Director position (no specific professional criteria). CHN values the perspectives and insights of First Nations people and are actively seeking applications from Aboriginal and Torres Strait Islander people. CHN is also seeking to increase diversity of the board and encourage people from diverse backgrounds to apply.

CHN considers that all nominees should also have:

1. Demonstrated ability to contribute to the Board’s strategic thinking.
2. Demonstrated ability to provide strong leadership, acting with integrity and high ethical standards.
3. Appropriate governance qualifications or experience (i.e. completion of the Australian Institute of Company Directors training or equivalent).

In accordance with the Capital Health Network Ltd Constitution, nominations are invited for the above offices. Further information about the role of Capital Health Network can be found on our website at https://www.chnact.org.au/.

Nominations, which must be in writing and comply with the rules of the organisation, may be made at any time from the issue of this notice and must reach the office, email address or postal address of the Returning Officer listed below not later than 5:00pm Thursday 21 August 2025. Nominations received after this time and date will not be accepted.

Eligibility – Nominees need not be a Member or employee of, or otherwise associated with a Member.

Nomination form: Candidates must submit a completed and signed Nomination Form, accompanied by the following documents:

• Statement addressing the position requirements (500-word maximum) for circulation with the ballot paper to members eligible to vote.
  – E2 Statement addressing position requirements
  – E4 Statement addressing position requirements
• Current CV (5-page maximum)
• Candidate Statement (250 word maximum) for circulation with the ballot paper to members eligible to vote
• Signed Consent to Act as a Director form.

If nominating for Director position E2, also attach supporting evidence of the necessary qualifications, registrations and/or competencies as an allied health professional, nurse or midwife.

Please note: Director ID is required prior to the appointment of a Director under ACNC and ASIC regulations. Provision of Director ID is a requirement for a valid nomination.

Only nominations which comply with the organisation’s rules and which reach the office, email address or postal address of the Returning Officer as listed below and not later than 5:00pm Thursday 21 August 2025 will be valid.

BALLOT: Voting material will be posted by no later than 18 September 2025 to eligible voters at the address shown in the Capital Health Network Ltd records. The result of the ballot will be declared on Thursday 30 October 2025, at the Annual General Meeting and by a notice on the Capital Health Network Ltd website.
